2. Service Description & Scope of Work


Effortless Virtual Solutions, LLC provides remote administrative, executive, organizational, and digital support services ("Virtual Assistant Services"). The specific deliverables, allocated hours, and project scopes are detailed in individual client service agreements, retainers, or proposals.


3. Independent Contractor Relationship


Effortless Virtual Solutions, LLC acts strictly as an independent contractor. Nothing in these Terms creates an employer-employee, partnership, or joint venture relationship between Effortless Virtual Solutions, LLC and the Client.


4. Client Responsibilities & Credential Security


To perform delegated tasks effectively, Clients are responsible for providing clear instructions, necessary materials, and secure access permissions (such as password management software or delegated user profiles). Clients maintain full ownership and final approval rights over all business decisions and public content posted on their behalf.


5. SMS / TEXT MESSAGING PROGRAM TERMS


By providing your mobile phone number and opting in through our web forms, you consent to receive SMS/text messages sent by or on behalf of Effortless Virtual Solutions, LLC regarding service updates, scheduling, billing, and optional marketing alerts.


5.1 Age Restriction (18+)

You must be at least 18 years of age to use our website, book services, or subscribe to our text messaging programs. By using our Service, you represent and warrant that you are at least 18 years old.


5.2 Message Types and Frequency

Messages include consultation confirmations, task updates, calendar notifications, invoice reminders, and promotional retainer offers. Message frequency varies based on client interaction and active project workloads.


5.3 Rates, Opt-Out, and Support

  • Rates: Standard message and data rates may apply depending on your mobile carrier. Carriers are not liable for delayed or undelivered messages.

5.4 Mobile Information Sharing Exclusion

We do not sell, rent, trade, or share mobile phone numbers or SMS consent data with third parties or affiliates for marketing or promotional purposes under any circumstances.


6. Confidentiality & Intellectual Property


Effortless Virtual Solutions, LLC agrees to hold all proprietary client information, trade secrets, login credentials, and internal documents in strict confidence. All deliverables, task outputs, and administrative materials created explicitly for the Client upon full payment remain the intellectual property of the Client.


7. Fees, Payments, Retainers, & Cancellations


  • Billing: Retainer packages and service hourly blocks are billed in advance unless specified otherwise in a custom agreement. Invoices are payable upon receipt.
  • Refunds: Due to the labor-intensive nature of Virtual Assistant Services, payments for completed work, billed hours, and monthly retainer allocations are non-refundable.
  • Cancellation: Monthly retainers may be canceled in accordance with the notice period specified in your specific service contract (typically 14–30 days written notice). Unused retainer hours do not roll over from month to month unless agreed upon in writing.

8. Limitation of Liability


In no event shall Effortless Virtual Solutions, LLC be liable for indirect, incidental, consequential, or punitive damages arising out of delegated business tasks, third-party platform outages (e.g., email software downtime), or errors resulting from incomplete instructions provided by the Client.


9. Governing Law


These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Effortless Virtual Solutions, LLC operates, without regard to its conflict of law principles.
